KX GENERAL TERMS AND CONDITIONS
This document is owned by KX Oil Tools Inc. By taking receipt of the products, tools, and services KX Oil Tools Inc. provides you understand and agree to accept and adhere to the following terms and conditions as stated in this policy (hereafter referred to as ‘The Agreement').
The Agreement is in effect as of June 1, 2014.
KX Oil Tools Inc. reserves the right to change The Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review The Agreement periodically to familiarize yourself with any modifications. It is also acknowledged that conditions in and about any well or work done in relation to the drilling, completion, and workover of any well may involve hazards to life personnel, property, and the environment which may affect the performance of the products and services that KX Oil Tools Inc. provides, and that such conditions are not and never have been subject to the inspection or control by KX Oil Tools Inc.

KX Oil Tools Inc. reserves the right to change The Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review The Agreement periodically to familiarize yourself with any modifications. It is also acknowledged that conditions in and about any well or work done in relation to the drilling, completion, and workover of any well may involve hazards to life personnel, property, and the environment which may affect the performance of the products and services that KX Oil Tools Inc. provides, and that such conditions are not and never have been subject to the inspection or control by KX Oil Tools Inc.
It is therefore agreed that:
- PRICES – Prices are subject to change without notice. All equipment, including equipment manufactured by third parties will be sold by KX Oil Tools Inc. under the terms of The Agreement.
- TERMS OF PAYMENT – Unless otherwise specified terms of payment are 30 Days Net. Interest chargeable thereafter is 2% per month (24% per annum).
- TAXES – Any taxes due shall be added to the stated price including any documentation charges, import duties, and freight charges.
- SHIPPING DATES – All statements are to be considered estimates and should be considered as so.Shipment dates may be delayed by causes beyond the control of KX Oil Tools Inc.
- DESIGN CHANGE – KX Oil Tools Inc. reserves the right to change or modify the design of any KX Oil Tools Inc. product without obligation to furnish or install such changes or modifications on products previously sold.
- DEFECTS – KX Oil Tools Inc. warrant that only products or parts sold to a Customer shall be free from defects in materials and workmanship and not that they will accomplish any particular result. Liability under this warranty is limited to replacement of or credit for the cost of the defective equipment or parts.
- ENTIRE LIABILITY – The entire liability of KX Oil Tools Inc. including express and implied warranties, in connection with its products and services is set forth herein, and no one is authorized to waive or amend the same in any particular.
- SERVICES AND CONTROL – Services rendered by KX Oil Tools Inc. in connection with the sale of products or services including technical advice, inspection of product, operation, and use are provided for information only and the Customer will retain full custody, control, and supervision of the work or the well and the conduct or operation thereof.
- NO GUARANTEE – KX Oil Tools Inc. will put forth its best efforts to render products and services as requested. No guarantee or representation is made regardless of the results obtained.
- CUSTOMER INDEMITY – Customer will be liable to KX Oil Tools Inc. for all claims, costs, and damages which KX Oil Tools Inc. may suffer, sustain, pay, or incur. In addition, the Customer will indemnify and hold harmless KX Oil Tools Inc. from all claims, actions, or demands of every kind which may be brought against KX Oil Tools Inc. arising from products or services provided.
- SEVERABILITY – If any provision of The Agreement is determined to be invalid or unenforceable by a court of competent jurisdiction, then such provision will be severable from the remainder of The Agreement, which shall continue to be in full force and effect.
- APPLICATION OF TERMS – All of the preceding terms and conditions shall apply between KX Oil Tools Inc. and any service company, operator, or any other party or parties using products or services provided by KX Oil Tools Inc.
